 TECHNICAL CONSULTANT 
 
 1.       BACKGROUND    Beneficiary Institutions   
 The Secretariat of the ACP Group,   representing the African, Caribbean and Pacific (ACP) Group of States. 
 1.1.     Contracting   Authority 
 The European Commission, on the behalf   of the ACP Secretariat. 
 1.2.     Relevant   institutional background 
 1.2.1.  The Secretariat of the ACP Group of States    
 The   Secretariat of the ACP Group was created under the Georgetown Agreement   signed on 6 June 1975. Part of its key areas of its mandate is monitoring the   implementation of the ACP-EC Partnership Agreement, and implementation of the   decisions of the main organs of the ACP Group namely the Summit of Heads of   State and Government, the Council of Ministers, the Committee of Ambassadors   and the ACP Parliamentary Assembly. 
 In this respect, the Secretariat is entrusted by the   Georgetown Agreement to provide good quality technical and administrative   support and services to the members and organs of the ACP Group. The   Secretariat carries out the tasks assigned to it by the various organs of the   Group through the implementation of their decisions and its own initiatives   aimed at contributing to the harmonious realisation of the Group's tasks.   Moreover, the Secretariat acts as co-Secretariat of the joint institutions,   liaising between the two sides and participating in the preparation of joint   technical documents and draft proposals. 
 The ACP Secretariat thus services all of these   institutions by, inter alia, servicing meetings of ACP and ACP-EU organs, in,   inter alia, providing specialized technical advice and policy papers   on issues that constitute the main pillars of ACP-EU Partnership and others   that contribute to the attainment of the objectives of the Georgetown   Agreement.  
 The ACP Secretariat, including its Geneva Antenna,   is the only permanent executive Organ of the ACP Group and its collaboration   with the European Commission dates as far back as the creation of the ACP   Group in 1975. It has been the technical arm in the negotiations leading to   the conclusion of all ACP-EU Conventions including the current Cotonou   Agreement, and to the first phase of the EPA negotiations and has continued   to play the coordinating role during the EPA negotiations with the six ACP   regional configurations for these negotiations.  
 1.2.2.  The other ACP Organs and the EU-ACP Joint   Institutions  
 The ACP Organs The Georgetown Agreement establishes the Council of   ACP Ministers as one of the decision-making bodies of the ACP Group and   provides that it "shall define the broad outlines of the work to be   undertaken for the attainment of the objectives" of the Group. The Council   meets twice a year in regular session and has established a number of   Ministerial Committees and Consultative Groups, dealing with specific   subjects, i.e.: Development Finance Cooperation, Ministerial Trade Committee,   Bananas, Sugar, Cotton, which usually meet in conjunction with the Council. 
 The Georgetown Agreement provides that the ACP   members of the ACP-EU Joint Parliamentary Assembly (JPA) act as an advisory   body to the ACP Group. They meet twice a year. The Meeting of ACP members of   the Joint Parliamentary Assembly is the organisation of ACP Parliamentarians   who are members of the ACP-EU Joint Parliamentary Assembly.  
 The Georgetown Agreement also established the Committee   of Ambassadors as one of the decision-making bodies of the ACP Group. The   Agreement specifies that the Committee of Ambassadors "shall assist the   Council of Ministers in the performance of its functions and shall carry out   any mandate entrusted to it by the Council of Ministers". The Committee of   Ambassadors meets, at least, twice a month. It has set up 6 Subcommittees, on   Trade and Commodity Protocols, Financing and Development, Establishment and   Finance, Political, Cultural, Social and Humanitarian matters, Sustainable   Development, Private Sector and Investment, which on average also meet twice   a month as well as Working Groups for cotton, sugar, banana, rice, REACH and   countries under sanctions. 
 Under the Cotonou Agreement the National and Regional   Authorising Officers are responsible, inter alia, for the   coordination, programming, regular monitoring and annual, mid-term and   end-of-term reviews of implementation of the ACP-EC development finance   cooperation, and for coordination with other donors. 
 Finally, the ACP Heads of State and Government have   held regular meetings (5 times) since 1997 when they held their first Summit   in Libreville.  
 The Joint Institutions The Cotonou Agreement establishes the ACP-EC Council   of Ministers as the principal decision-making body of the ACP-EC partnership   that meets once a year. The Agreement also creates the ACP-EC Development   Finance Cooperation Committee and the Joint ACP-EC Ministerial Trade   Committee. They usually meet twice a year and report to the Joint Council.   The ACP-EU Joint Parliamentary Assembly acts as a consultative body, under   the Cotonou Agreement. 
 Furthermore, the ACP-EC Conventions (including the   Cotonou Partnership Agreement) created the ACP-EC Committee of Ambassadors in   order to "assist the Joint ACP-EC Council of Ministers in the fulfilment of   its tasks and carry out any mandate entrusted to it by the Joint Council",   which usually meets once a year. 
 
 1.3.      Context of the action During the Extraordinary Session of the Council of   Ministers in Montego Bay, Jamaica, in July  
 However, in recent times, there is a growing demand   for a financing vehicle that would finance private sector development in the   ACP countries while promoting intra-ACP trade and investments. This demand   has become particularly pressing in the context of the global financial   crisis and the credit crunch which has undermined the capacity of ACP governments   and private sectors to access finance in international capital markets. 
 The idea is to create a private-sector led   Investment Bank that mobilises resources from member states, the EU, other   development partners and the international capital markets and provides   financing in critical areas to ACP member states and private sectors. 
 During the 93rd Session of the ACP Council of Ministers in   Brussels during 26  29 May 2011, the Honourable Ministers took a decision   under Decision No. 4/XCIII/11 mandating the Secretariat to prepare a report   together with a set of practical recommendations for the establishment of an   ACP trade, Investment and Development Bank. They directed the Secretariat to   submit its recommendations to the Committee of Ambassadors and to the 94th   Ministerial Council meeting. 
 The proposed bank will be a multilateral institution   with strong private sector participation and will be open to ACP as well as   EU member states, and, eventually, other interested third parties. It will   seek to focus on niche areas that do not compete with the private sector or   with what other multilateral banks are already doing, among them mobilisation   of venture capital, trade finance and infrastructures development. It will   operate as a world-class multilateral finance institution committed to   excellence in its management and operations. 
 2.       DESCRIPTION   OF THE ASSIGNMENT 
 
 2.1.     Global   and specific objectives of the contract 
 The global objective of the assignment is to ensure that projects that   are key to the development of ACP countries and that cannot be financed by   the existing financing channels (private and public) are realized.      
 The specific objective of the assignment is to contribute to the   successful preparation of a comprehensive report on the feasibility and   implementation framework for an ACP Trade, Investment and Development Bank,   focusing on the organisation, structure and operations of such a new entity.  
 
 2.2.     Beneficiaries 
 The ACP Organs and the EU-ACP Joint Institutions   which will use the results of the study to further discuss the relevance of   such set up 2.3.     Requested   services 
 Under the supervision of the EC and the ACP Secretariat and in order   to achieve the above mentioned objectives, it will be required and expected   from the Consultant, in consultations with the ACP Secretariat, to: 
       I.          Make an analysis of the financing gap in   ACP countries      II.          Review the existing regional and financial   institutions     III.          Provide justifications and rationale for a   new financial entity      IV.          Do a market survey for such a new financial   entity      V.          Propose an organisation and structure of   the financial entity     VI.          Bearing in mind the reputation of   multilateral finance institutions for slowness and bureaucracy, propose an   operational structure that would fit the needs of a trade and investment   entity that speedily responds to the needs of its clients, without prejudice   to the proper checks    VII.          Propose membership and location   VIII.          Propose sources to mobilise capital     IX.          Describe operational activities and   financial instruments      X.          Discuss the comparative advantage of the   new entity over existing MFIs     XI.          Propose strategies for getting a buy-in   from key stakeholders    XII.          Evaluate risks and ways of mitigate them   XIII.          Enunciate a business model for the proposed   entity   XIV.          Design a LogFrame for the implementation of   the project (including key milestones and timelines)    XV.          Drafting of a Legal Framework for the   proposed Entity  XVI.          Organise a validation workshop in Brussels:   30 technicians coming from different parts of the ACP world will be   identified by the ACP secretariat and invited to participate in a validation   workshop held in Brussels. This event will be an opportunity to discuss and   validate the conclusions of the expert team.  
 2.4.           Expected results 
 The following key outputs are envisaged:  
 1.     Provide a full and detailed feasibility report as   well as action plan and LogFrame for the implementation of the ACP Investment   Bank project. 2.     Legal Instrument defining the legal personality,   organisation structure, principal Authorities and overall set-up and operation   of the entity. 3.     Ensure that all documents  are provided in both French and English  
 
 3.       EXPERT   PROFILE

 Note that the framework contractor will not be asked to book a   conference venue/equipment/translation devises. The event will be held at the   ACP house (Avenue Georges Henri 451) at no cost.  
 In consultation with the experts, the ACP secretariat will provide the   framework contractor with the names and contact of the 30 technicians.  
 
 The evaluation committee will evaluate each expert and give technical   note to each CV. The offer final technical note will be calculated using the   following coefficients: 
 
 
 
   
 4.       LOCATION   AND DURATION 
 4.1.     Starting   date 
 The expected starting date is 30 of April 2012. In   any case the expert should be mobilized no later than 15 days after the   signature of the contract.  
 4.2.     Completion   date  
 The total duration of the contract will be 6   calendar months from the start date.  
 4.3.     Planning 
 The assignment will start with a briefing session   with the representatives of the ACP secretariat to discuss the objectives and   the study.  
 The consultant will provide a detailed inception   report no later than a week after the briefing session. The contracting   authority will have two weeks to provide its comments. The consultant will   provide a revised version no later than a week after having received   comments. 
 The consultant will provide a draft final report no   later than 1,5 month before the end of the implementation of the contract.   The contracting authority will have two weeks to provide its comments. The   consultant will provide a revised version no later than a week after having   received comments. 
 4.4.     Location   of assignment 
 The location of the assignment will be Brussels -   Belgium 
 5.       REPORTING 
 5.1.     Reporting   Requirements  
 
 The inception report will at least contain a   provisional work plan for the implementation of the assignment, a methodology   for carrying out the specified tasks described under 2.3 and proposed plan   for field missions. 
 The draft final report will include an executive   summary outlining the main results achieved, the activities carried out and   the findings and recommendations, and the result of the discussions held   during the validation workshop. The draft final report must be written in   English and once the final version has been agreed upon, a French translation   should be provided.  
 On top of the electronic copy, six hard-copies of   the approved final report will be provided to the Contracting Authority,   three in French, three in English.  
 
 6.       ESTIMATED   BUDGET 
 Overall total budget of the contract may not exceed   199,999. The propose contract is a fee-based contract 
 
 
 As stated in the Global ToR of the Framework Contract, the Contractor   will make available appropriate management and backstopping mechanisms,   quality control systems, secretariat and any other support staff (editors,   proof readers etc.) that it considers necessary in order to implement the   Contract. The support team will provide all necessary logistical support both   prior and during the assignment to allow experts to concentrate on their   primary responsibilities.  
 Regarding the specific assignment, secretariat/office renting costs   both in Headquarters and during field missions, which may include rental,   communications (fax, phone, mail, internet, courier etc.), report production   and secretarial services both in the Contractor's home office and during   field missions are considered an overhead included within the fee rates of   experts.  
 Experts shall be fully equipped with portable computers, necessary   software and portable printer including paper necessary for printing reports   and other documentation. The Team Leader and the legal expert are expected to   be present in Brussels for the briefing session with the representatives of   the ACP secretariat and for the validation workshop. The operational base of   this contract being Brussels, potential costs relating to the travel of   experts to/from Brussels will have to be included in the experts' fees. 
 With the prior approval of the EC, experts will be allowed to work on   Sundays and during legal holidays (expect when meeting are scheduled)  
 
 6.2.   Reimbursable   expenses 
 A provision for incidental expenditure will have to   be included in the budget so as to cover at least costs relating to the   following activities: 
 6.2.1.  Field missions: 
 Missions are understood   as journeys from/to the usual place of residence of the experts to/from the   rest of the world except to/from the operational base as well as journeys   from/to the operational base to/from the rest of the world except from/to the   usual place of residence of the experts. 
 Team   leader: 
 Ø   One   mission in the Caribbean Ø   One   mission in West Africa Ø   One   mission in the Pacific Ø   One   mission in East Africa Ø   One   mission in Southern Africa 
 Legal   expert: 
 The legal expert will join the team leader in at least three of the   most relevant missions. The exact location of these missions will have to be   discussed with the ACP secretariat during the briefing session. A detailed   mission plan will have to be included in the inception report for formal   approval. 
 
 6.2.2.  Travel expense and per-diem of the 30   technicians:
